Trading Terms and Conditions
(Sunfree Trading)
1. Introduction
These Terms and Conditions (“Agreement”) apply to all transactions between Sunfree Trading
(“Seller”) and the customer (“Buyer”) for the sale of pharmaceutical products. By placing an order,  the Buyer agrees to comply with these terms.
2. Definitions
Seller: Sunfree Trading, the party selling pharmaceutical products to the Buyer.
Buyer: The party purchasing pharmaceutical products from the Seller, typically a licensed business (e.g., pharmacy, healthcare provider).
Products: All pharmaceutical goods, including prescription drugs, over-the-counter medications, medical supplies, and equipment offered by the Seller.
3. Order Process
Orders may be placed via [methods of order, e.g., phone, email, website, etc.].
The Buyer must provide complete and accurate order details, including the necessary licensing and
regulatory documentation as required for pharmaceutical sales.
Orders will be processed upon receipt of payment and verification of all required documentation (e.g., proof of pharmaceutical license, order verification).
The Seller reserves the right to refuse or cancel orders if the Buyer does not meet legal or regulatory requirements.
4. Prices and Payment
All prices are in South African Rands (ZAR) and exclusive of applicable taxes, duties, and shipping fees.
The Seller’s prices are subject to change without prior notice but will be confirmed at the time of order placement.
Payments for orders must be made via [accepted payment methods, e.g., bank transfer, credit terms if applicable].
Any late payments may incur a [percentage]% late fee per month, or the maximum rate allowed by law.
5. Delivery and Shipping 
Delivery times are estimates and are based on product availability and location.
The Buyer is responsible for any import duties, taxes, and other charges related to delivery.
The Seller is not liable for delays or damages caused by third-party shipping companies or force majeure events.
Risk of loss or damage to the Products passes to the Buyer once the Products have been delivered to the specified shipping address.
6. Returns and Refunds
Returns are only accepted for defective or damaged goods. Pharmaceutical products are non returnable unless they are damaged, expired, or incorrectly delivered.
Requests for returns must be made within [number of days] days of receipt of the Products.
Products that are perishable, expire soon, or are otherwise non-returnable are excluded from return eligibility.
The Buyer is responsible for any return shipping costs unless the Seller has agreed to cover them.
7. Compliance and Licensing
The Buyer is responsible for ensuring that all necessary licenses, permits, and regulatory approvals are in place to purchase, store, and distribute the Products.
The Buyer must comply with all applicable laws, including the regulations governing the sale and distribution of pharmaceuticals in their jurisdiction.
The Seller reserves the right to request and review the Buyer’s licenses and certifications before processing any order.
8. Warranty and Liability
The Seller warrants that the Products sold are in compliance with relevant regulatory standards.
In the event of defective products, the Seller’s liability is limited to the replacement or refund of the
purchase price, at the Seller's discretion, provided the defect is reported within [number of days] days of receipt.
The Seller is not liable for any indirect, incidental, or consequential damages arising from the use or misapplication of the Products.
9. Confidentiality and Data ProtectionBoth parties agree to maintain confidentiality with respect to any business or customer information that is exchanged in relation to the sale of the Products.
Personal data, including that of employees or customers, will be processed in accordance with the applicable data protection laws.
The Seller will not share Buyer’s data with third parties, except as required for the fulfillment of the order or compliance with legal obligations.
10. Force Majeure
Neither party shall be liable for failure or delay in performing their obligations under this Agreement if such failure is caused by circumstances beyond their reasonable control, such as natural disasters, strikes, or changes in law.
11. Governing Law and Dispute Resolution
This Agreement shall be governed by the laws of South Africa.
Any disputes arising from or in connection with this Agreement shall be resolved through
[arbitration/mediation], and the venue shall be [Location].
Both parties agree to attempt amicable resolution before pursuing legal action.
12. Amendments
The Seller reserves the right to amend or update these Terms and Conditions at any time. Changes will be communicated to the Buyer in writing and will apply to all orders placed after the amendment.
